About the Supervisory Board
Regulation

I. General rules

  1. This regulation regulates the activities of the Supervisory Board of the Karakalpak Medical Institute (hereinafter referred to as the Supervisory Board).
  2. The Supervisory Board is guided by the Law of the Republic of Uzbekistan “On Education”, Decree of the President of the Republic of Uzbekistan No. PF–5847 dated October 8, 2019 “On approval of the Concept of Development of the higher education system of the Republic of Uzbekistan until 2030”, Decree of the President of the Republic of Uzbekistan dated December 24, 2021 “On ensuring academic and organizational and managerial independence of State higher education institutions establishments”. in addition to PC-60 ”On measures to ensure the financial independence of State higher education institutions” and PC–61 “On measures to ensure the financial independence of State higher education institutions” – in the field of higher education and scientific activity and are the governing bodies of the Karakalpak Medical Institute (hereinafter-the Institute).
  3. The Supervisory Board is not a legal entity and has no state registration. The Supervisory Board carries out its activities on a voluntary basis.
  4. The Supervisory Board carries out its activities in accordance with the Constitution and laws of the Republic of Uzbekistan, decisions of the Chambers of the Oliy Majlis of the Republic of Uzbekistan, decrees and resolutions of the President of the Republic of Uzbekistan, resolutions of the Cabinet of Ministers of the Republic of Uzbekistan and other legislative acts, as well as the Charter of the Institute and this Regulation.
  5. The Supervisory Board may include representatives of ministries and departments, personnel customers, non-profit organizations, representatives of the public, sponsors, as well as other legal entities and individuals interested in improving and developing the activities of the institute.
  6. The composition of the Supervisory Board of the Institute is approved by the Ministry of Health of the Republic of Uzbekistan.

II. Functions and powers of the Supervisory Board

  1. The main powers of the Supervisory Board are:
      Approval of the Institute’s long-term and medium-term strategic development program, identification of targeted measures to promote the institute from high positions in the ranking of internationally recognized organizations and control over its implementation;
      Approval of the Institute’s business plan for the medium term and the parameters of income and expenses, discussion of their implementation;
      making a decision on setting admission parameters on a fee-and-contract basis in areas of education, specialties and specialties;
      Studying the activities and listening to information from rectors and vice-rectors on the implementation of tasks assigned to the institute, on the status of achieving targets;
      Issuance of an additional task to the internal audit and Financial control service of the Institute for conducting financial control and receiving a report on the results of control measures;
      Solving issues related to the development of the institute and its financial activities, including the formation of an endowment fund in the form of a non-profit organization;
      determining the order and directions of spending the funds of the innovation and other funds of the Institute based on the priority directions of science and innovation development;
      Evaluation of the activities of the rector and staff, as well as the teaching staff of the Institute, approval of criteria for evaluating the effectiveness of their activities (KPI);
      Establishing the procedure for stimulating managers and employees of the Institute and its educational and scientific institutions, teaching staff, as well as foreign specialists based on the amount of remuneration and performance criteria;
      Determination of the procedure for using the funds of the extra-budgetary fund for the development of the institute, including the distributive share of expenses.
      The Supervisory Board may have other powers in accordance with the current legislation, this regulation and the Charter of the Institute.
  2. The Supervisory Board in order to perform the tasks assigned to it:
      Receives from the institute, in accordance with the established procedure, information and information necessary to perform the tasks assigned to the supervisory board;
      based on these Regulations, the Institute approves the charter of the Supervisory Board;
      Develops proposals to improve the quality of training at the Institute;
      Makes recommendations to the rector of the Institute on financial and moral incentives for staff and students of the Institute.

III. The composition of the Supervisory Board, the tasks assigned to them

  1. The Supervisory Board is formed on the basis of the principles of voluntary participation and equality of all its members in resolving issues within the competence of the Supervisory Board.
      The Supervisory Board is formed, as a rule, consisting of the Chairman (co-chairman), Deputy Chairman, secretary and members of the Supervisory Board.
      The number of the supervisory board will be odd. Changes in the personnel and management of the supervisory board are carried out, as a rule, once a year and are approved by the Ministry of Health of the Republic of Uzbekistan.
      The Rector of the Institute is ex officio a member of the Supervisory Board.
      The appointment of the rector of the Institute as chairman of the Supervisory Board is not allowed.
  2. At least 70 percent of the supervisory board will consist of the Ministry of Health, agencies, staff customers, members of the public and sponsors.
      The Rector and vice-rectors of the Institute are appointed and dismissed by the Supervisory Board.
  3. The Supervisory Board has the right to delegate its powers to the Board of the Institute, as well as to assume the powers that are part of the Board of the Institute.
      The Supervisory Board does not have the right to delegate its powers to the rector of the Institute.
  4. Chairman (Co-Chairman)the Supervisory Board:
      The meeting of the Supervisory Board determines the agenda and convenes it;
      Approves the decisions of the Supervisory Board and monitors their implementation;
      Approves the annual work plan of the Supervisory Board, and also submits a report on the implementation of the annual work plan of the Supervisory Board for discussion by the Board;
      Coordinates the work of the members of the Supervisory Board in fulfilling the tasks assigned to them;
      represents on behalf of the Supervisory Board in government agencies and other organizations;
      Exercises other powers to ensure the effective work of the Supervisory Board.
  5. The powers of the Deputy Chairman of the Supervisory Board are determined by the decision of the Supervisory Board.
  6. Members of the Supervisory Board have the right to:
      Participation in the discussion and resolution of issues considered at meetings of the Supervisory Board;
      Making proposals to the Supervisory Board on topical issues of the development of the educational process at the Institute (and its branches);
      Submission of an opinion on issues considered by the Supervisory Board.
  7. The members of the Supervisory Board carry out their activities as part of the Supervisory Board on a voluntary basis.
      The members of the Supervisory Board must attend the meeting in person. If such attendance is not possible, a member of the Supervisory Board has the right to submit his opinion on the agenda of the meeting to the Supervisory Board in writing.
      If a member of the Management Board has not attended the meetings of the Board 3 times without good reason, he is excluded from the membership of the Board.
  8. Secretary of the Supervisory Board:
      Organizational and technical support for the activities of the Supervisory Board;
      Ensures timely preparation of all necessary documents for the meeting of the Supervisory Board;
      The dates and venue of the meeting are agreed upon with the Chairman (Co-Chairman) The Supervisory Board;
      organizes meetings of the Supervisory Board on the issues on the agenda;
      Informs the members of the Supervisory Board and invited persons about the date of the meeting, the draft agenda, the time and place of the meeting;
      Monitors the implementation of decisions of the Supervisory Board;
      Draws up the minutes of the Supervisory Board and sends the approved minutes to the members of the Supervisory Board and other interested organizations.
      The Secretary of the Supervisory Board is a member of the Supervisory Board.

IV. Organization of the activities of the Supervisory Board

  1. Decisions on issues within the competence of the Supervisory Board are taken at its meetings.
  2. The Supervisory Board carries out its work according to the plan approved by it.
      The meeting of the Supervisory Board is held remotely, as necessary, but at least once a quarter, if necessary, using information and communication support.
      Extraordinary meetings may be convened by the Chairman of the Supervisory Board on the basis of written requests from its members. The petitions must state the reasons and grounds for convening an extraordinary meeting.
  3. The members of the Supervisory Board have the right to send a written proposal to include the issue in the agenda of the meeting of the Supervisory Board. The proposal to include the issue on the agenda should specify the exact definition of the issue, the surname, first name and patronymic of the speaker, the proposed draft decision and materials on the issue on the agenda of the meeting of the Supervisory Board.
      The agenda will be approved at the meeting of the Supervisory Board.
      At the meeting of the Supervisory Board, issues not listed on the agenda of the Supervisory Board are not considered.
  4. The meeting of the Supervisory Board is chaired by the Chairman of the Supervisory Board, and in his absence – by the co-chairman or Deputy Chairman of the Supervisory Board.
      The quorum for the meeting of the Supervisory Board must be at least two thirds of the number of appointed members of the Supervisory Board.
      A quorum is announced for the meeting or a new date for the meeting of the supervisory Board in the absence of the chairman (co-chairman) and his deputy.
  5. Depending on the nature of the issues under consideration, heads and specialists of ministries, departments and other organizations, teachers and staff of the Institute, and other persons may be invited to the meeting of the Supervisory Board.
  6. Chairman of the Supervisory Board Secretary of the Supervisory Board no later than 7 calendar days before the date of the meeting of the Supervisory Board:
      Draft agenda of the meeting of the Supervisory Board;
      Draft decisions of the Supervisory Board on the agenda of the meeting of the Supervisory Board;
      Documents and information materials on the agenda of the meeting of the Supervisory Board are submitted.
  7. The draft agenda and relevant materials approved by the Chairman (co-chairman) or Deputy Chairman of the Supervisory Board are sent to the members of the Supervisory Board no later than five days before the date of the meeting of the Supervisory Board.
      At the same time, each member of the Supervisory Board is notified of the meeting of the Supervisory Board. The notification may be sent electronically, by fax, by telephone message or by personal presentation to a member of the Supervisory Board and must contain information on the date, time and place of the meeting of the Supervisory Board.
  8. Information (materials) for the meeting of the Supervisory Board is prepared by the Secretary of the Supervisory Board together with the relevant departments of the Institute.
  9. If necessary, the Date, Time and place of the meeting of the Supervisory Board may be changed (or postponed) with the consent of the majority of the members of the Supervisory Board.
  10. At the meeting of the Supervisory Board, decisions are made by a majority vote of the Board members. When making decisions on the agenda of the meeting of the Supervisory Board, each member of the Supervisory Board has one vote. In case of equality of votes of the members of the Supervisory Board, the chairman’s vote is decisive.
      The transfer of votes by one member of the Supervisory Board to another member of the Supervisory Board is not allowed.
  11. The decision on the following issues is made by the votes of at least three quarters of the members of the Council present at the meeting:
      Approval of the long-term and medium-term strategic development program of the Institute;
      Approval of the Institute’s long- and medium-term business plan, as well as income and expense parameters;
      making a decision on setting admission parameters on a fee-and-contract basis in areas of education, specialties and specialties;
      Independent determination of the procedure for using the funds of the extra-budgetary fund for the development of the institute, including the share of cost allocation.
  12. Minutes are kept at the meeting of the Supervisory Board. The minutes of the meeting of the Supervisory Board shall be drawn up no later than five days from the date of the meeting.
  13. In the minutes of the meeting of the Supervisory Board:
      place and time of the meeting;
      Persons who participated in the meeting of the Supervisory Board;
      The agenda of the meeting of the Supervisory Board;
      questions put to the vote, the results of voting on them;
      the decisions made are displayed.
  14. The minutes of the meeting of the Supervisory Board are signed by the Chairman and the members present at the meeting of the Supervisory Board.
      The opinion of the absentee voting members of the Supervisory Board, expressed in writing and signed by them personally, is attached to the minutes of the meeting of the Supervisory Board.
  15. The Secretary of the Supervisory Board ensures the storage of the original minutes of the Supervisory Board.
      The protocols have serial numbers in chronological order, have a detailed serial number, a consolidated volume of individual documents and are stored in the order established for documents with limited access to information.
  16. The minutes of the meeting approved by the Chairman (Co-Chairman) of the Supervisory Board are sent by the Secretary of the Supervisory Board to the Chairman and members of the Supervisory Board within 5 days after their approval.
  17. The original minutes of the Supervisory Board and its materials are kept at the Institute.
      The Rector of the Institute is responsible for storing the documents of the Supervisory Board in accordance with the established procedure.
  18. The Secretary of the Supervisory Board, with the help of the members of the Supervisory Board, systematically studies and reviews the implementation of the decisions of the Supervisory Board, if necessary, makes appropriate proposals to the chairman (co-chairman) of the Supervisory Board.
      Regularly reviews at its meetings the status of implementation of decisions taken by the Supervisory Board.
  19. The working procedure of the Supervisory Board is determined by the regulations approved by the Supervisory Board.

    V. Final rules
  20. The Supervisory Board is dissolved in accordance with the established procedure if it interferes in matters outside its competence or cannot fully ensure the fulfillment of its duties. At the same time, the new composition of the Supervisory Board will be formed on the basis of the requirements provided for in Chapter 3 of this Regulation.
  21. Members of the Supervisory Board are not allowed to have powers not established by this Regulation, to interfere with the powers of the rector of the Institute established by legislative acts.
  22. Interference in the activities of the supervisory board of the Rector of the Institute, public administration bodies, local governments and other organizations is not allowed.
  23. Persons guilty of violating the requirements of this Regulation are liable in accordance with legislative acts.
  24. This regulation comes into force from the moment of its approval.
  25. Amendments and additions to these regulations are carried out by the Supervisory Board.
